1. About the Company
DevArc Labs is a technology-focused company engaged in the development, operation, licensing, distribution and commercialisation of software, digital products and technology services.
Our activities may include:

2. Acceptance of Terms
These Terms of Service (“Terms”, “Terms of Service”, or “Agreement”) govern your access to and use of websites, applications, software, platforms and other digital services provided, operated, licensed, distributed or otherwise made available by DevArc Labs (“Company”, “we”, “us”, or “our”).
By accessing, registering for, downloading, installing, purchasing, subscribing to or using any Company Service, you acknowledge that you have read, understood and agreed to these Terms and all applicable additional terms, policies and guidelines.
If you do not agree with these Terms, you must not access or use the relevant Service.
By using a Service, you represent that you have the legal capacity to enter into a binding agreement and will comply with applicable laws.

4. Product-Specific Terms of Service
The Company may operate multiple applications, websites, software products, SaaS platforms and other Services.
Certain individual applications, websites, software products, platforms or Services may have their own specific Terms of Service, End User Licence Agreement (EULA), licence terms, usage rules, subscription terms, community guidelines, privacy notices or other contractual terms (“Product-Specific Terms”).
Where you use such a product or Service, you may be required to accept and comply with both:
- These Company Terms of Service; and
- The applicable Product-Specific Terms.
Product-Specific Terms may contain additional requirements relating to that particular product, including account requirements, licences, subscriptions, acceptable use, content rules, payment terms, warranties, limitations and other conditions.
If there is a conflict between these Terms and Product-Specific Terms with respect to a particular product or Service, the Product-Specific Terms will prevail to the extent of that conflict, unless expressly stated otherwise in those Product-Specific Terms.
5. Third-Party Websites, Apps and Software
Certain Company Services may contain links to, integrate with, or depend upon third-party websites, applications, software, platforms, APIs, payment processors, hosting providers, app stores or other services.
Such third-party services may have their own Terms of Service, privacy policies, licence agreements and other conditions.
You are responsible for reviewing and complying with applicable third-party terms when using those services.
The Company does not control third-party services and, subject to applicable law, is not responsible for their independent policies, availability, content or practices.
6. Accounts and Registration
Certain Services may require you to create an account.
You agree to:
- Provide accurate and current information
- Maintain the confidentiality of your credentials
- Keep your account information updated
- Take reasonable steps to protect your account
- Notify us of unauthorised access where reasonably possible
- Accept responsibility for activities conducted through your account, subject to applicable law
You must not create an account using false information, impersonate another person or entity, use another person's account without authorisation, sell or improperly share your account, or attempt to circumvent account or security controls.
We may suspend or restrict an account where reasonably necessary to protect the Service, users, the Company or third parties, or where applicable terms have been violated.
7. Licence and Use of Software
Unless expressly stated otherwise, the Company grants you a limited, non-exclusive, non-transferable and revocable licence to access and use its software or Service for its intended purpose and subject to these Terms and applicable Product-Specific Terms.
You must not, except where expressly permitted by law or authorised by the Company:
- Copy or reproduce the software beyond permitted use
- Modify or create derivative works
- Reverse engineer, decompile or disassemble the software
- Attempt to obtain source code
- Circumvent technical restrictions
- Remove proprietary notices
- Redistribute or commercially exploit the software without authorisation
- Interfere with the operation or security of the Service
Different software products may be subject to different licences.
8. Acceptable Use
You agree not to use any Company Service to:
- Violate applicable laws or regulations
- Commit fraud or facilitate fraudulent activity
- Impersonate another person or entity
- Infringe intellectual-property rights
- Distribute malware, viruses or malicious code
- Interfere with or disrupt the Service
- Attempt unauthorised access to systems or accounts
- Bypass security or access controls
- Abuse, harass, threaten or unlawfully harm another person
- Conduct activities that may reasonably cause significant harm to the Company, its users or third parties
- Engage in activities expressly prohibited by applicable Product-Specific Terms
9. Communication Services
Certain Company products may provide internet-based communication functionality.
Where applicable, such Services may operate as internet-based application-to-application communication services between registered users.
Unless expressly stated otherwise for a particular product, such a Service does not itself provide SIM services, mobile network services, cellular network connectivity, public telephone numbers, PSTN connectivity or telecommunications carrier services.
Specific communication products may contain additional terms governing communication, recording, consent, user conduct and data handling.
10. Recording Features
Certain Services may contain recording functionality.
Where recording is available, the applicable Service may have a separate Recording Policy or Product-Specific Terms explaining whether recording is enabled by default, how users are notified, applicable consent requirements, where recordings are stored, how recordings are protected, retention periods, deletion procedures and restrictions on downloading, exporting or sharing recordings.
Users remain responsible for complying with applicable laws relating to recording and communication.
11. Privacy and Data Protection
Your use of Company Services may also be governed by the Company's applicable Privacy Policy, Cookie Policy, Data Retention & Deletion Policy, Recording Policy and other privacy-related notices.
Where a particular Service has a separate privacy notice or data policy, that product-specific policy may contain additional information or requirements.
The Company will process personal data in accordance with applicable law and its applicable privacy documentation.
12. User Content
Some Services may allow users to submit, upload, transmit, store or otherwise provide content, information, communications or other materials (“User Content”).
You retain ownership of your User Content, subject to any rights or licences expressly granted to the Company under applicable Service terms.
You represent that you have the necessary rights and permissions to provide such User Content.
You must not submit content that violates applicable law, infringes third-party rights, contains malicious code, unlawfully exposes another person's confidential information, or violates applicable Product-Specific Terms.
13. Intellectual Property
All rights, title and interest in and to the Company's software, applications, websites, trademarks, logos, designs, interfaces, documentation, graphics, databases, technology, source code, object code, proprietary systems, content and other intellectual property are owned by, licensed to, or otherwise lawfully controlled by the Company or its licensors, unless expressly stated otherwise.
Nothing in these Terms transfers ownership of Company intellectual property to you.
You may not use Company trademarks, branding or other intellectual property without prior written permission, except where permitted by applicable law.
14. Payments and Subscriptions
Certain Services may be offered on a paid, subscription, licence, usage-based or other commercial basis.
Before completing a purchase or subscription, you may be provided with information concerning price, taxes, billing period, renewal, cancellation, refunds, payment methods and other commercial conditions.
Those terms will apply to the relevant transaction.
Where payments are processed by a third party, that third party's terms may also apply.
15. Service Availability and Changes
The Company may modify, update, suspend, discontinue or replace any Service or feature from time to time.
This may include adding or removing functionality, changing technical requirements, releasing updates, modifying interfaces, changing supported operating systems or devices, discontinuing obsolete features or introducing new products or services.
We will make reasonable efforts to maintain availability, but do not guarantee that every Service will always be available, uninterrupted or error-free.
16. Updates and Security
Certain software may automatically receive updates, patches, security improvements or other modifications.
Keeping software updated may be necessary for security, compatibility and proper operation.
You must not intentionally interfere with legitimate security or software updates.
While we take reasonable measures to protect our Services, no technology system can be guaranteed to be completely secure.
17. Suspension and Termination
We may suspend or terminate your access to a Service where reasonably necessary, including where you breach these Terms or Product-Specific Terms, create a security or operational risk, where required by law or lawful governmental order, fraudulent or abusive activity is suspected, or the relevant Service is discontinued.
You may stop using a Service at any time, subject to applicable subscription or contractual obligations.
Upon termination, provisions that by their nature should survive termination will continue to apply, including intellectual property, liability, disclaimers, dispute resolution and governing law.
18. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Services are provided on an “as is” and “as available” basis.
Except where expressly provided in writing, the Company does not guarantee that a Service will always be available, uninterrupted, completely error-free, that all defects will be corrected, or that the Service will meet every individual requirement.
Nothing in these Terms excludes any warranty or consumer right that cannot legally be excluded.
19. Limitation of Liability
To the maximum extent permitted by applicable law, the Company and its directors, officers, employees, affiliates, licensors and service providers will not be liable for indirect, incidental, special, consequential or punitive losses arising from or relating to your use of a Service.
This may include, where legally permitted, loss of profits, revenue, business opportunities, data, business interruption or reputational loss.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
20. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless the Company and its directors, officers, employees, affiliates and licensors from claims, losses, liabilities, damages and expenses arising from your violation of these Terms, Product-Specific Terms, applicable law, infringement of third-party rights caused by your conduct or User Content, or intentional or negligent misuse of the Service.
21. Legal and Government Compliance
You must use our Services in accordance with applicable laws and regulations.
The Company may disclose information or take other actions where required by applicable law, lawful governmental requests, court orders or legally binding regulatory requirements.
Nothing in these Terms prevents the Company from complying with its legal obligations.
22. Age Requirements
Unless a particular Service expressly states otherwise, our Services are intended for individuals who are legally capable of entering into a binding agreement.
Certain Services may have an 18+ eligibility requirement or other age restrictions.
Where Product-Specific Terms contain a different age requirement, that requirement will apply to the relevant Service subject to applicable law.
23. Electronic Communications
By using our Services, you consent to receiving electronic communications relating to your account, transactions, security, updates, support and operation of the Service.
Where legally required, we will obtain additional consent for communications or processing activities.
24. Changes to These Terms
We may update these Terms from time to time.
When changes are made, we may update the “Last Updated” date and, where appropriate, provide additional notice.
Your continued use of the applicable Service after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
For material changes, we may provide additional notice where reasonably appropriate.

Where a specific policy or Product-Specific Terms governs a particular subject matter, that document will apply to that subject matter.
26. Severability
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted.
The remaining provisions will continue in full force and effect.
27. No Waiver
Failure by the Company to enforce any provision of these Terms will not constitute a waiver of its right to enforce that provision in the future.
28. Assignment
You may not transfer or assign your rights or obligations under these Terms without the Company's prior written consent, except where permitted by applicable law.
The Company may assign or transfer its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets or similar corporate transaction, subject to applicable law.
29. Governing Law and Dispute Resolution
These Terms shall be governed by and interpreted in accordance with the laws of India, unless applicable law requires otherwise.
Any dispute arising out of or relating to these Terms or the relevant Service shall be subject to the jurisdiction of the courts or dispute-resolution mechanism specified by the Company for the relevant Service, subject to applicable law.
Where Product-Specific Terms specify a particular dispute-resolution mechanism or jurisdiction, that provision will apply to the relevant Service to the extent legally permissible.
30. Entire Agreement
These Terms, together with applicable Product-Specific Terms, policies, licences, notices and other contractual documents expressly incorporated by reference, constitute the agreement governing your use of the relevant Service.
Where a specific product has its own contractual terms, those terms form part of the agreement applicable to that product.

Important Notice Regarding Individual Products
The Company may operate multiple applications, websites, software products, SaaS platforms and other digital Services. Each individual product may have its own specific Terms of Service, EULA, Privacy Policy, Recording Policy, subscription terms, acceptable-use rules or other contractual documents. By using an individual product, you agree to comply with both these general Company Terms and the terms specifically applicable to that product. In the event of a conflict concerning a specific product, the Product-Specific Terms will generally govern that product to the extent of the conflict, unless those terms expressly provide otherwise. Third-party apps, websites and software used in connection with a Company Service may likewise have their own separate Terms of Service and policies, which users may be required to accept independently.
